Beneficial Ownership: What Every SME Owner Must Know

Since the General Laws Amendment Act came into force, every South African company must lodge a beneficial ownership register with CIPC and keep it current.

A beneficial owner is any natural person who, directly or indirectly, owns 5% or more of a company, or who exercises effective control. For trusts, the test extends to founders, trustees and named beneficiaries.

CIPC requires the register to be updated within 10 business days of any change. Failure to comply can result in administrative fines and, in serious cases, deregistration.

Practical tip: keep certified copies of IDs, proof of address, and a clear shareholding diagram in a single secure folder. When CIPC asks, you respond in minutes — not weeks.
